These Terms & Conditions (“Terms”) govern your access to and use of the website wodsolution.com and any Services provided by WOD Solution, including but not limited to Search Engine Optimization (SEO), Website Design & Development, Social Media Management, Meta & Google Ads (Paid Advertising), E-Commerce Growth Solutions, Graphic Design, Video Editing & Production, and AI Agents & Chatbot Development (collectively, “Services”).
By engaging WOD Solution for any Service, signing a proposal, making a payment, or using our website, you (“Client,” “you”) agree to be bound by these Terms. If you do not agree, please do not engage our Services.
1. Scope of Services
The specific Services, deliverables, timelines, and pricing for each engagement will be outlined in a written proposal, quotation, invoice, or service agreement (“Project Agreement”) shared with the Client. In case of any conflict between these Terms and a signed Project Agreement, the Project Agreement will take precedence for that specific engagement.
We reserve the right to refuse or discontinue service to any individual or business at our discretion, including for non-payment, abusive conduct, or requests that are illegal, unethical, or that we reasonably believe could damage our reputation.
2. Proposals, Quotations & Payment Terms
- All prices are quoted in the currency specified in the proposal/invoice and are exclusive of applicable taxes unless stated otherwise.
- Projects typically require an advance/deposit payment before work begins. The remaining balance is payable as per the milestone or monthly schedule specified in the Project Agreement.
- For ongoing/retainer-based Services (e.g., SEO, social media management, ads management), payment is due in advance for each billing cycle unless otherwise agreed in writing.
- Late Payments: Work may be paused, and deliverables withheld, if payment is not received by the due date. Repeated late or non-payment may result in termination of Services without additional notice, and any amounts already due remain payable.
- Quoted prices are valid for a limited period as stated in the proposal and may be revised if the Client’s requirements change materially after acceptance.
- Third-party costs (ad spend, domain/hosting fees, premium plugins/themes, stock assets, API/tool subscriptions, WhatsApp Business API fees, etc.) are separate from our service fees and are the Client’s responsibility unless explicitly included in the proposal.
3. Client Responsibilities
To deliver Services on time and effectively, the Client agrees to:
- Provide timely access to required accounts (website admin, hosting, domain, ad accounts, analytics, WhatsApp Business, social media pages, etc.)
- Provide content, feedback, approvals, and information within agreed timeframes
- Ensure that all content, materials, and information provided to us (text, images, product data, claims, testimonials, etc.) are accurate, lawful, and that the Client has the right to use them
- Designate an authorized point of contact for approvals and communication
Delays caused by the Client in providing access, content, feedback, or approvals may result in corresponding delays to project timelines, for which WOD Solution is not responsible.
4. Revisions & Scope Changes
- Each Service package includes a reasonable number of revisions as specified in the Project Agreement.
- Requests that fall outside the originally agreed scope (additional pages, extra ad creatives, new chatbot features, extra revision rounds, etc.) will be treated as a scope change and may incur additional charges, to be agreed upon before proceeding.
- We will always inform the Client before starting work on anything outside the agreed scope.
5. Intellectual Property Rights
- Upon full and final payment, ownership of the final approved deliverables created specifically for the Client (e.g., final website files, final designs, final ad creatives, final chatbot scripts/flows built specifically for that Client) transfers to the Client, except for any third-party assets, licensed tools, stock content, open-source components, or pre-existing WOD Solution frameworks/templates/code libraries used in the delivery, which remain subject to their original licenses.
- Until full payment is received, all work-in-progress and delivered materials remain the property of WOD Solution and may not be used, published, or distributed by the Client.
- WOD Solution retains the right to showcase completed projects (including screenshots, results, and general project descriptions) in its portfolio, case studies, website, and marketing materials, unless the Client requests confidentiality in writing and we agree to it.
- Any proprietary tools, internal processes, AI prompts/frameworks, code libraries, or automation systems developed by WOD Solution for general use (not exclusively paid for as custom, exclusive IP by the Client) remain the property of WOD Solution and may be reused for other clients.
6. Advertising Accounts & Third-Party Platforms
- For Meta Ads, Google Ads, and similar paid advertising Services, the Client’s ad account (and associated ad spend) is owned and controlled by the Client, not WOD Solution, unless explicitly agreed otherwise.
- WOD Solution is not responsible for actions taken by third-party platforms (Meta, Google, WhatsApp, hosting providers, domain registrars, payment gateways, etc.), including account suspensions, ad disapprovals, policy changes, algorithm updates, or service outages, as these are outside our control.
- The Client is responsible for ensuring their business, products, or services comply with the advertising policies of the relevant platforms.
7. Results, Rankings & Marketing Disclaimer
WOD Solution uses professional, industry-standard strategies and makes reasonable, good-faith efforts to achieve strong results for every Client. However:
- We do not guarantee specific search engine rankings, traffic numbers, lead volumes, sales figures, conversion rates, or any other specific outcome, as these depend on factors outside our control, including but not limited to search engine algorithm changes, market competition, platform policy changes, industry conditions, and the Client’s own website, product, pricing, and market fit.
- SEO and organic growth strategies typically take time (often several months) to show measurable results, and past performance shown in our portfolio or case studies does not guarantee similar results for every business.
- WOD Solution is not liable for losses arising from changes made by search engines, social media platforms, or ad networks to their algorithms, policies, or terms of service.
8. AI Agents & Chatbot Services — Specific Terms
For Services involving the development, training, or deployment of AI agents, chatbots, or automation tools:
- AI-generated responses are based on the data, instructions, and training provided at the time of development. WOD Solution does not guarantee that an AI agent’s responses will be 100% accurate, error-free, or appropriate in every scenario, especially as customer queries, products, or business information change over time.
- The Client is responsible for reviewing, testing, and approving chatbot/AI agent responses and flows before going live, and for promptly informing us of any inaccurate or inappropriate outputs so they can be corrected.
- The Client is responsible for keeping the AI agent’s underlying business information (pricing, policies, product details, etc.) updated by requesting updates from WOD Solution or through any self-service tools provided; we are not liable for outdated information the Client did not request us to update.
- WOD Solution is not liable for any business, financial, reputational, or legal loss arising from decisions made or actions taken by end customers based on AI agent/chatbot responses, except where such loss is directly caused by our gross negligence or willful misconduct.
- Ongoing maintenance, monitoring, and optimization of AI agents beyond the initial development phase may be subject to a separate maintenance/retainer fee, as specified in the Project Agreement.
9. Confidentiality
Both parties agree to keep confidential any non-public business, technical, financial, or strategic information shared during the course of the engagement, and to use such information solely for the purpose of delivering or receiving the Services. This obligation survives the termination of the engagement, except where disclosure is required by law or where information is or becomes publicly available through no fault of the receiving party.
10. Cancellation & Refund Policy
- Deposits/advance payments are non-refundable once work has commenced, as they cover time, resources, and third-party costs already allocated to the project.
- If the Client cancels a project mid-way, WOD Solution will be entitled to payment for all work completed up to the point of cancellation, based on the proportion of work delivered.
- For retainer/ongoing Services, either party may terminate with the written notice period specified in the Project Agreement (typically 15–30 days). Fees already paid for the current billing cycle are non-refundable, but no further billing will occur after the notice period ends.
- Refunds, where applicable, will be assessed case-by-case in line with the specific Project Agreement and are at the reasonable discretion of WOD Solution.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- WOD Solution’s total liability for any claim arising out of or related to the Services shall not exceed the total amount paid by the Client to WOD Solution for the specific Service giving rise to the claim in the preceding three (3) months.
- WOD Solution shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, business opportunity, or goodwill, even if advised of the possibility of such damages.
- Nothing in these Terms limits liability for fraud, gross negligence, or willful misconduct, or any liability that cannot be excluded under applicable Pakistani law.
12. Indemnification
The Client agrees to indemnify and hold harmless WOD Solution, its team, and contractors from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) content, data, or materials the Client provided that infringe third-party rights or violate applicable law; (b) the Client’s use of deliverables in a manner not intended or authorized; or (c) the Client’s breach of these Terms.
13. Termination
Either party may terminate the engagement for material breach of these Terms if the breach is not remedied within fourteen (14) days of written notice. WOD Solution may also terminate immediately, without notice, in cases of non-payment, abusive conduct, or a request to perform illegal or unethical work. Upon termination, the Client remains responsible for payment of all Services rendered up to the termination date.
14. Force Majeure
Neither party shall be held liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, internet or power outages, government actions, platform-wide outages (e.g., Meta, Google, WhatsApp), or other events of force majeure.
15. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Any disputes arising out of or in connection with these Terms or the Services shall first be attempted to be resolved amicably through good-faith negotiation. If unresolved within thirty (30) days, disputes shall be subject to the exclusive jurisdiction of the courts of [insert your city, e.g., Lahore], Pakistan.
16. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Services, business practices, or legal requirements. The revised Terms will be posted on this page with an updated “Last Updated” date. Continued use of our website or Services after changes are posted constitutes acceptance of the revised Terms.
